Todd Kegler is the Columbus Office Business Leader. Todd’s practice focuses principally on mergers and acquisitions and other complex business transactions, including acquisitions, dispositions, ESOP formation transactions, recapitalizations, reorganizations, strategic investments and joint ventures. For more than 30 years, Todd has advised private and public companies and their owners, as well as private equity firms, across a broad range of industries, including manufacturing, automotive dealership, healthcare, restaurant, franchising, retail, building and construction materials, technology, advertising and marketing, property damage restoration and professional services.
In addition to specific transaction-based work, Todd regularly advises clients as outside general counsel in connection with a wide range of day-to-day commercial arrangements, including business and income tax planning matters pertaining to C corporations, S corporations, limited liability companies and limited partnerships. In addition, he advises a variety of companies and entrepreneurs in matters such as business formation, capital raising, employee matters, strategic agreements, shareholder agreements, complex partnership and limited company agreements, debt and equity arrangements and confidentiality and noncompete agreements.
Todd's background also includes estate planning for high-net-worth individuals, with experience in structuring and implementing sophisticated strategies for clients involving GRATs, dynasty trusts, intentionally defective grantor trusts, family limited partnerships and limited liability companies.
