The BakerHostetler Private Equity team gets deals done efficiently for financial sponsors and their portfolio companies across all industries and geographies. As a large national firm with more than 1,000 lawyers and 18 offices throughout the country, we have all the resources that clients need for complex transactions in areas including finance, tax, antitrust, intellectual property, capital markets, labor and employment, environmental issues, litigation and digital assets and data management. We concentrate on solutions and the key concerns impacting the deals and the clients with which we work.

  • We focus on the middle market. We work on large, multibillion-dollar transactions, but we appreciate that middle-market transactions – including deals on the smaller end of that spectrum – still involve complexities that require sophisticated counsel.

  • We value ongoing relationships with portfolio companies. We provide day-to-day legal support to portfolio companies throughout the life cycle of a fund’s investment, tapping into our resources to provide solutions and make things easier for investment professionals and management teams.
  • We have a unique strength with add-on acquisitions. We approach smaller add-on acquisitions with the same enthusiasm that is too often reserved for large headline-making transactions.

  • Represented Avathon Capital in the sale of its portfolio company Big Blue Marble Academy, a provider of early childhood education programs, to Leeds Equity Partners.
  • Represented Blue Point Capital Partners in its acquisition of National Safety Apparel, a manufacturer of high-performance personal protective equipment used in the utility and electrical services sector.
  • Represented Cyprium Investment Partners LLC in its sale of Endura Products, LLC, a manufacturer of high-performance exterior door components, to Masonite International Corporation (NYSE: DOOR), a manufacturer of interior and exterior doors for residential and nonresidential buildings, for approximately $375 million in cash, subject to customary closing adjustments and regulatory approval.
  • Represented 80/20, LLC, a portfolio company of MPE Partners, as U.S. counsel in its acquisition of Les Industries Flexpipe, Inc., a Canadian steel modular framing manufacturer.
  • Represented Simpli.fi Holdings, LLC, a portfolio company of GTCR and Blackstone, in its acquisition of Bidtellect, a contextual and native demand-side platform.
  • Represented Surge Private Equity LLC in its acquisition of Elite Clinical Network LLC, a network of phase I-IV clinical research sites that has completed thousands of studies for pharmaceutical companies and contract research organizations, for approximately $200 million.
  • Represented ASPEQ Heating Group LLC, a portfolio company of Industrial Growth Partners, in its acquisition of BBC Industries, Inc., a provider of infrared electric heaters and heating systems for industrial and commercial end markets.
  • Represented Brownhelm Capital, LLC, a family office, in its acquisition of International Assets Advisory, LLC, a comprehensive financial services provider for registered investment advisors and their clients.
  • Our General Counsel Services team provides daily legal services to TPG Global LLC, a leading private equity firm, and Sixth Street Partners, LLC, a global multiplatform investment firm, with billions of dollars in assets under management.
  • Represented Chicago-based private equity firm Invision Capital (multiple funds) in numerous acquisitions, divestitures and financing transactions focused on the middle market.
  • Represent numerous search funds and independent sponsors in leveraged acquisitions, recapitalizations and exit transactions.
