Jeffrey Slavin counsels emerging and middle-market private investment fund managers with respect to a broad range of fund formation, compliance and regulatory matters. He advises managers of hedge funds, venture capital funds, private equity funds and other pooled investment vehicles in connection with their structuring, formation and ongoing operational needs, including drafting and negotiating the full suite of organizational and offering documents, side letters and service provider agreements. Jeff advises institutional investors and family offices on their investments into funds, and advises funds and investors on their secondary transactions. In addition, he advises fund investors and managers in the search fund industry, including with respect to fund-of-funds and subscription fund formation and management.
Drawing on his years of diverse corporate experience, Jeff is also well-versed in writing commercial agreements and corporate governance documents, including limited liability operating agreements, stockholders’ agreements, stock and asset purchase agreements, loan documents, employment agreements, resolutions and other corporate documents.
Jeff is the creator and co-leader of a national associate training program called "M&A From the Ground Up," an in-person and online resource on specific corporate topics and general best practices, plus specific mergers and acquisition topics.
