<p>As acting assistant chief of the DOJ Antitrust Division’s Civil Conduct Task Force, Longman oversaw the work of lawyers and paralegals in the prosecution of complex antitrust conduct claims. That included participating in and supervising the recent <em>U.S. v. Google </em>monopolization case relating to its advertising technology business, which entailed developing the theory and managing the litigation team from the onset of the investigation through trial. During his tenure with the DOJ, he also represented the U.S. in investigations and litigations with respect to conduct claims in a range of industries, including technology platforms, advertising, real estate and agriculture.</p>



<p>Prior to his government career, Longman served as an antitrust associate with several Washington-area law firms, representing clients in federal and state antitrust litigations and merger reviews. He also litigated complex antitrust conduct cases through trial, conducted investigations and provided antitrust counseling.</p>



<p>Longman received his J.D. from George Washington University Law School and an M.S. from the London School of Economics.</p>

<p><strong>WASHINGTON </strong>—<strong>April 15, 2025</strong> — BakerHostetler’s internationally recognized <a href="https://bakerlawstaging.contentpilot.net/services/digital-assets-and-data-management/" target="_blank" rel="noreferrer noopener">Digital Assets and Data Management</a> Practice Group released its 2025 Data Security Incident Response Report, which provides insight and analysis from more than 1,250 data security incidents managed by the firm this past year. The 11th edition of the report — a one-of-a-kind publication from a law firm — features a deep dive into critical components of security incidents (e.g., response timeline, average ransom payment amount, frequency of litigation) as well as an examination of trends in litigation, privacy, artificial intelligence, web tracking, the regulatory landscape and more. It provides organizations around the globe with metrics to make data-driven decisions before, during and after security incidents.</p>

<li><strong>Forensic investigation costs</strong> <strong>dropped dramatically</strong>, marking a three-year low and a 30% reduction. In just the past two years, the average forensic costs for the 20 largest network intrusion matters declined from $550,000 to $273,000.</li>



<li><strong>Less malware</strong> is being used. Use of compromised credentials is more prevalent. So identity access management and access controls are even more important.</li>



<li><strong>Post-data breach class action filing frequency was slightly less than the year before </strong>(lawsuits were filed after 51 out of 518 disclosed incidents compared with 58 out of 493 disclosed incidents in 2023). This was the first year in the past five without an increase.</li>



<li><strong>Wire fraud impact grew.</strong> The total amount of fraudulent transfers grew by over 211%, from $35 million in 2023 to $109 million in 2024. The average fraudulent wire transfer was over $1 million.</li>

<h2 class="wp-block-heading" id="h-ransomware-impact-less-severe"><strong>Ransomware impact less severe</strong></h2>



<p>It is rare that our clients experience more than one ransomware attack. After more than five years of attacks, many organizations have experienced one and learned the lessons to prevent a second. Law enforcement continues to be effective at disrupting the operations of ransomware groups. The report shows that the most active groups rarely remain at the top for more than a year. Organizations are more resilient. With better backup strategies, organizations rarely need to pay for a decryptor. More often, they are paying to prevent publication of stolen data; on average, the amount of such payments is lower than when a decryptor is needed. The average ransom paid dropped 33% in 2024 to $501,388 (down from $747,651 in 2023).</p>

<p>Forensic investigation costs continue to drop, declining 30% in 2024 and marking a three-year low. Key factors driving down costs are preexisting Endpoint Detection and Response Coverage, triage collection tools, virtualization, wider use of SIEMs and a mature industry that has developed efficiencies (e.g., low-flat-fee approaches for common matters like email access events).</p>

<h2 class="wp-block-heading" id="h-data-breach-litigation-trended-slightly-downward"><strong>Data breach litigation trended (slightly) downward</strong></h2>



<p>Reversing course, data breach litigation decreased in 2024 for the first time, with 51 incidents (out of 518 disclosed incidents) resulting in one or more lawsuits (compared with 58 out of 493 disclosed incidents in 2023).</p>



<h2 class="wp-block-heading" id="h-privacy-statute-lawsuits-also-slowed"><strong>Privacy statute lawsuits also slowed</strong></h2>



<p>Website privacy lawsuits, which exploded at the end of 2022 and beginning of 2023, slowed in 2024. And website privacy case settlements saw an uptick. As the report states: “This may be a function of the sheer number of cases that were initially filed and some litigation fatigue from the plaintiffs’ bar.”</p>



<h2 class="wp-block-heading" id="h-fraudulent-fund-transfers-skyrocket"><strong>Fraudulent fund transfers skyrocket</strong></h2>



<p>The total amount of fraudulent fund transfers more than tripled from 2023 to 2024 — increasing from $35 million to $109 million. These include successfully diverted wires, direct deposits and ACH payments. The average fraudulent transfer amount also surged from $430,445 in 2023 to $1,256,797 in 2024. The top two industries targeted were business and professional services and finance and insurance, with just over 50% of the wire fraud matters affecting those two industries.</p>



<p>The median time from initial account access to discovery of the fraudulent fund transfer was significantly higher when compared with all incidents generally (18 days compared with three days). This lag in discovery significantly impacts the ability to recover funds.</p>

<p><strong>Houston — April 2, 2025</strong> — Law firm BakerHostetler advised the target company in the successful closing of a stock purchase agreement between INEOS Energy and CNOOC. The deal is valued at nearly $2 billion.</p>



<p>A US-based subsidiary of CNOOC International Ltd., has entered into the stock purchase agreement with a subsidiary of INEOS Energy for the sale of CNOOC’s subsidiary.</p>



<p>The SPA involves CNOOC Limited’s upstream oil and gas business located in the Gulf of Mexico, mainly consisting of non-operating interests in oil and gas projects including the Appomattox and Stampede fields.</p>

<p><strong>NEW YORK — March 10, 2025</strong> <strong>—</strong> BakerHostetler announces that members of its <a href="https://bakerlawstaging.contentpilot.net/services/securities-and-governance-litigation/">Securities and Governance Litigation practice team</a> secured a complete dismissal on summary judgment of a Section 10(b) securities class action in the U.S. District Court for the District of Utah.</p>



<p>On June 15, 2020, Gelt Trading Ltd. filed a securities class action against Co-Diagnostics Inc. and certain of the company’s current and former directors and officers alleging violations of Sections 10(b) and 20(a) of the Securities Exchange Act of 1934. Co-Diagnostics (NASDAQ: CODX) is a molecular diagnostics company headquartered in Salt Lake City.</p>



<p>At issue was Co-Diagnostics’ May 1, 2020 press release that disclosed, among other things, that its Logix Smart COVID-19 test demonstrated “100% sensitivity and 100% specificity” — well-defined scientific metrics — across independent evaluations. Gelt Trading alleged that the press release was false and/or misleading because it conveyed to investors that the Logix Smart test was “100% accurate,” allegedly inflating Co-Diagnostics’ stock price. Gelt Trading claimed that this artificial inflation was removed, and investors suffered losses, when Co-Diagnostics’ stock price dropped on May 15, 2020, following three disclosures that allegedly revealed the press release to be false.</p>



<p>BakerHostetler was retained to replace prior counsel after the initial motion to dismiss was denied and the case was in the early phases of discovery. On summary judgment, BakerHostetler argued that Gelt Trading could not establish any genuine issue of material fact supporting liability as to any element of a Section 10(b) claim — falsity, scienter, reliance, loss causation or damages. BakerHostetler also argued that Gelt Trading’s experts’ testimony — which related to clinical testing and loss causation — should be excluded on summary judgment under <em>Daubert</em>.</p>



<p>On March 4, after oral argument, the court granted Co-Diagnostics’ Daubert motion to exclude the testimony of Gelt Trading’s loss causation expert and granted summary judgment for Co-Diagnostics, concluding that Gelt Trading could not demonstrate loss causation.</p>



<p>With respect to the motion to exclude, the court found that Gelt Trading’s loss causation expert’s testimony was not admissible evidence for two reasons. First, its expert failed to subscribe his report under penalty of perjury as required under 28 U.S.C. Section 1746. Second, its expert failed to account for obvious alternative explanations for the May 15, 2020 stock price drop.</p>



<p>As for the motion for summary judgment, the court concluded that none of the three alleged corrective disclosures corrected the May 1, 2020 press release, either because they did not discuss Co-Diagnostics’ Logix Smart test or because the allegedly contradictory information was long known to the market and already incorporated into Co-Diagnostics’ stock price. Accordingly, Gelt Trading could not establish that the May 1, 2020 press release was the cause of its or the class’s losses. Having reached this conclusion, the court declined to address the other summary judgment arguments or the other <em>Daubert </em>motions.</p>

<p><strong>NEW YORK — Feb. 24, 2025</strong> <strong>—</strong> BakerHostetler represented Dow Jones in the agreed acquisition of Dragonfly Intelligence and Oxford Analytica from FiscalNote Holdings, Inc. (NYSE: NOTE) for $40 million. The carve-out transaction is expected to close in the first quarter of 2025 and is subject to regulatory approval in Austria and customary closing conditions. Dow Jones’ parent company, News Corp., expects to receive a $4 million tax benefit in connection with the transaction.</p>
