BakerHostetler’s debt finance attorneys represent a wide range of clients throughout the United States and around the world in all types of commercial and real estate financing transactions. Our borrower clients are a diverse group of established, growing, transitioning or emerging businesses situated across all levels of the economy. They include investment-grade, highly leveraged, distressed, middle-market or emerging entities and are owned as public companies, private companies or portfolio companies of private equity clients.

We also represent arrangers, agents, underwriters, lenders, participants and note purchasers. These clients include large money center banks, regional and local banks, private equity funds, hedge funds, insurance companies, finance companies, strategic lenders, and other alternative sources of debt capital. Our clients are drawn from, or provide capital to support, almost all major sectors of industry, including commodities, energy, healthcare, technology, hospitality, manufacturing, services, equipment, media and telecommunications, real estate, and retailers.

  • Represented Oversea-Chinese Banking Corporation Limited as one of two lenders in a $300 million senior unsecured revolving credit facility to the U.S. subsidiary of a global commercial real estate developer based in Hong Kong.
  • Represented an industrial technology manufacturing company and its subsidiaries in a series of related transactions, including a $1 billion amend and extend syndicated credit facility refinancing, signing of a note purchase agreement providing for the issuance of a $100 million aggregate principal amount of the company’s senior private placement notes, and amendments to the note purchase agreements governing three tranches of outstanding private placement notes issued by the company or its subsidiaries.
  • Represented a global private equity firm as junior co-lender in a $1.6 billion credit facility to a multinational conglomerate holding company.
  • Represented the joint lead arranger, collateral agent and lender in a $4 billion senior, secured, syndicated revolving credit facility to two major department stores and their subsidiaries, and in a separate $500 million senior secured letter of credit facility.
  • Represented an Australian multinational bank, as agent and a lender, in connection with a syndicated facility agreement that established a AUS$48 million revolving line of credit for an auto parts seller.
  • Represented a diversified energy delivery company, as borrower’s counsel, in connection with a $400 million restatement and extension of a working capital line of credit.
  • Represented Oversea-Chinese Banking Corporation Limited as the arranger, administrative agent and lender of a $175 million revolving credit facility to an investment fund.
  • Represented the lender in a refinance of tax-exempt bond financing in connection with a commercial business park.
