A deal team led by Partner John Allotta and Associates Charlotte Pasiadis and Katie Legband O'Brien aided client TransDigm Group Inc. in signing a definitive agreement to acquire the Electron Device Business of Communications & Power Industries (CPI), a portfolio company of TJC, LP. The team also included Partners Matt Oliver, Michelle Hervey, Tim Swan, Brian Murray and Nichole Sterling, Counsel Meagan Moore and Gretchen Rogge, and Associates Alanna Guy, Scott Fishman and Natasha Wasil.

Agreement on the $1.385 billion cash acquisition was announced Nov. 9, and the deal is expected to close in 2024.

Through its wholly owned subsidiaries, TransDigm is a leading global designer, producer and supplier of highly engineered aircraft components for use on nearly all commercial and military aircraft in service today.

CPI's Electron Device Business is a leading global manufacturer of electronic components and subsystems primarily serving the aerospace and defense market; its products are highly engineered, proprietary components with significant aftermarket content. The business generated approximately $300 million in revenue for its fiscal year ending in September.
