Partner Alexander Reid shared his thoughts on the involvement of state attorneys generals’ involvement in the process of nonprofits becoming for-profits in a MinistryWatch article titled “Nonprofits Becoming For-Profits: Where are the Lines of Legality?” Published Feb. 2, 2024, the article explains that it is indeed legal, but very complicated and involves a long restructuring process, asset distributions and state approvals. According to Reid, the state attorney general would have to be notified and ensure “that there is no private inurement (i.e., distribution of net earnings to insiders), or private benefit (direct or substantial economic benefits outside the charitable class ordinarily benefited by the organization).”
